Terms and Conditions

1. Introduction

1.1 These Terms and Conditions form the basis of Unify Rewards. They are intended to protect both Members and Loyalty Innovation Pty Ltd – ABN18 161 673 427 (the creator of Unify Rewards). It is the Member’s responsibility to read and understand them.

1.2 These Terms and Conditions are effective as at the date specified above and may be amended by Loyalty Innovation from time to time. The current Terms and Conditions are those available at this website. Members will be provided with access to the Terms and Conditions at the time of joining Unify Rewards.

1.3 Every Member is bound by these Terms and Conditions.

 

2. Definitions

2.1 In these Terms and Conditions unless the context otherwise requires:

‘Active Member’ at a Stamp in time, means a Member who has successfully registered for Unify Rewards on their Membership Account;

‘Base Rate’ means the number of Unify Rewards stamps earned by a Member on a transaction. The Base Rate is one Stamp earned per transaction, not including any bonus;

‘Benefits’ means any of the facilities, discounts, services or arrangements offered or available to a Member as a result of membership in Unify Rewards including earning and redeeming Stamps and Rewards;

‘Ether’ means a digital cryptocurrency hosted on the Ethereum network

‘Unify Customer Service’ means a center operated by Unify where membership information is processed and Unify Rewards are administered;

‘Member’ means a person who is a member of Unify Rewards;

‘Membership’ means membership of Unify Rewards;

‘Membership Account’ means the record of a Member’s Membership, which is available to the Member online at unifyrewards.com;

‘3rd Party Partner’ means an entity with whom Unify Rewards has entered into an agreement to provide for Members to earn Unify Stamps when acquiring certain goods or services (or as otherwise agreed with Unify Rewards);

‘Stamps’ means stamps awarded to Members in Unify Rewards pursuant to these Terms and Conditions unless otherwise stated.

‘Unify Rewards’ means the reward program operated by Loyalty Innovation;

‘UnifyRewards.com’ means this internet site;

‘Ether’ means a digital currency which may be obtained by a Member through the Unify Rewards program in accordance with these Terms and Conditions;

‘Terms and Conditions’ means these Unify Rewards Terms and Conditions;

 

3. Changes to Unify Rewards

3.1 Subject to clause 3.2, Loyalty Innovation reserves the right to make any changes (whether material or otherwise) to Unify Rewards, the Terms and Conditions, and the Stamps or Ether offered, including:

a) changes to:

the ways in which Unify Rewards Stamps are earned and redeemed;

Stamp earning and redeeming rates;

The continued availability of Stamps or Ether;

Ether usage restrictions or conditions;

membership level requirements and benefits;

the expiry of accrued Unify Stamps at the end of the trial;

b) changes to 3rd Party Partners, or the products and services offered by any of those parties on which Unify Stamps may be earned; and

c) changes to any 3rd Party Partner participation including restrictions on earning and/or redeeming Unify Stamps, Stamp earning and redemption levels, Ether access;

3.2 Unify reserves the right to make material changes to these Terms and Conditions without notice to Members.

3.4 If Ether ceases to be available after Stamps have auto-redeemed, Unify Rewards will provide an alternative Reward of similar value.

 

4. Termination or Suspension of Unify Rewards

4.1 Loyalty Innovation gives no warranty as to the continuing availability of Unify Rewards. Loyalty Innovation may terminate or suspend Unify Rewards at any time. In all instances Unify Rewards will cease immediately.

4.2 If Loyalty Innovation terminates or suspends Unify Rewards, Members will be able to redeem Unify Stamps and Ether during a notice period (if any) in accordance with these Terms and Conditions, except where Loyalty Innovation is ceasing to operate a business and/or has gone into liquidation or other form of administration, in which case Loyalty Innovation may terminate or cancel any Stamps and Ether access immediately without notice.

4.3 Unify Rewards is being run as a research project in conjunction with the University Of NSW. Unify
Rewards will terminate by no later than November 21 st 2017, however Loyalty Innovation reserve
the right to close Unify Rewards earlier if the full allocated budget for Ether is exhausted. In this
instance Members will be notified with 5 days notice via email. Upon termination of Unify Rewards:

(a) any accumulated Unify Stamps will expire.
(b) Members will have 30 days to transfer their Ether as per program rules. Any Member which still
has Ether remaining in their account at the end of the 30 day period will forfeit the right to that
Ether.

 

5. Membership

5.1 Membership of Unify Rewards is open only to individuals. Membership is not open to families, groups, companies, trusts, partnerships, other entities, government departments, agencies, animals or inanimate objects.

5.2 Persons wishing to become Members must apply for Membership. Membership is offered at the discretion of Unify Rewards, and will be limited to 500 individuals during the trial period. Unify has the right to accept or reject any application for Membership.

5.3 Each Member may have only one Unify Rewards account.

5.4 Members may, at any time, cancel their Membership by contacting Unify Rewards. Unify Rewards will cancel the relevant Membership as requested. Any accumulated Unify Stamps in that Member’s account will immediately expire. The member will be able to transfer any
Ether in their account as per program rules for up to 30 days after the account cancellation. Accordingly, Unify recommends that Members carefully plan all cancellations to avoid unintentional loss of accumulated Unify Stamps. Refer to the Unify Rewards Termination Policy in 4.3 for further
details.

 

6. Use of the Member ID & Digital Barcode

6.1 When Members register for Unify Rewards, a unique member ID and digital barcode will be automatically and randomly generated.

6.2 Members will be required to scan their digital barcode (located in the Unify Rewards App) in order to earn Unify Stamps in connection with a transaction with any 3rd Party Partner.

 

7. Member obligations and responsibilities

7.1 Members must not:

(a) act in any way which breaches these Terms and Conditions; or

(b) abuse or misuse Unify Rewards, any Rewards, Benefits, facilities, services or arrangements accorded to the Member as a result of Membership including by:

(i) engaging in illegal or fraudulent activities;

(ii) supplying or attempting to supply false or misleading information, or making a misrepresentation to Unify or 3rd Party Partners;

(iii) selling, assigning, transferring or acquiring, or offering to sell, assign, transfer or acquire any Reward, Benefit or Unify Stamps other than in accordance with these Terms and Conditions;

7.2 Each Member is responsible for ensuring that they have sufficient Unify Stamps to redeem for any Reward that they request.

7.3 Each Member is responsible for regularly checking their Membership Account and must:

(a) notify Unify Rewards of any omissions, incorrect entries or other discrepancies immediately;

(b) notify Unify Rewards or the applicable partner (as specified by Unify Rewards) of any omissions, incorrect entries or other discrepancies immediately.

Note: Partners require the Member to scan their digital barcode at the time of transaction and may not accept retrospective claims for Unify Stamps.

Unify Rewards and each 3rd Party Partner reserves the right to require proof of earning from the Member, including copies of receipts or similar documentation.

 

8. Suspension or Termination of Membership

8.1 If a Member has committed a material breach of any of the Terms and Conditions, then Unify Rewards may do any one or more of the following:

(a) suspend or terminate the Member’s Membership

(b) reverse or cancel the Member’s Unify Stamps or any part thereof; or

(c) cancel or refuse to honour any Ether that have been claimed by or provided to the Member.

8.2 If Unify Rewards intends to take action under clause 8.1, it will notify the Member of its intention and the reason for that action.

8.3 Membership will terminate automatically on the death of a Member. Unify Rewards Stamps & Ether earned but not yet redeemed or transferred prior to the death of the Member will be cancelled. Unify Rewards will close the Member’s account on notification of the Member’s death. Unify Rewards will not be liable for any loss or damage whatsoever suffered by any person as a result of such cancellation.

 

9. Earning Unify Rewards Stamps

9.1 General

9.1.1 To earn Unify Rewards Stamps, Members must sign in to their Unify Rewards account when transacting. For 3rd Party earn, the Member will be required to scan their digital barcode when acquiring, taking or utilising eligible 3rd Party Partner products or services.

9.1.2 A Member may earn Unify Rewards Stamps only in relation to eligible transactions entered into after the Member’s enrolment date. Except as provided elsewhere in these Terms and Conditions, or as otherwise specified by Unify Rewards, Stamps may be credited only to the account of the Member who has acquired the eligible goods or services, or entered into an eligible transaction. Only one stamp can be earned in a 2 minute period, irrespective of the number of scans.

9.1.3 Stamps will not be awarded in relation to any transactions that are cancelled, refunded or returned. Unify Rewards may cancel or deduct any Stamps that have been awarded in relation to cancelled and/or refunded transactions.

9.2 Unify Stamps validity

9.2.1 Except as otherwise provided in these Terms and Conditions, Stamps will not expire as long as the Member remains an Active Member.

9.2.2 Unify Rewards reserves the right to reverse or cancel any Stamps credited to a Member incorrectly, or not in accordance with, or in breach of, the Terms and Conditions at any time.

9.3 Earning Unify Stamps

9.3.1 Stamps may be earned for transactions with specified 3rd Party Partners. The number of Stamps earned is either:

(a) One per transaction when scanning digital barcode ; or

(b) specified as part of any limited period campaign communications when scanning digital barcode

9.6 Earning Unify Rewards Stamps from 3rd Party Partners

9.6.1 Unify Rewards has arrangements with 3rd Party Partners in relation to the awarding of Stamps to Members. Such arrangements may change from time to time.

 

10. Account Information

10.1 Members may access account information without charge at Unify Rewards.com, including Stamps earned, Stamps redeemed, and Ether claimed.

 

11. Transfers

11.1 Stamps cannot be transferred between different Unify Rewards accounts

11.2 Ether can be transferred to the accounts of other participating Members

11.3 At the end of the trial Ether can be transferred to a Member’s personal Ether Wallet

 

12. Redeeming Unify Stamps for Ether

12.1 Ether availability is limited.

12.2 Ether may be subject to personal income or other tax assessment. Members are advised to check with their accountant or tax adviser for further information.

12.3 When the Member has accumulated ten Unify Rewards Stamps they will auto-redeem for A$5 equivalent of Ether.  Loyalty Innovation and Unify Rewards do not give any warranty or make any representation in relation to the underlying value of Ether, as it is a free-floating crypto-currency subject to significant swings in valuation.

12.4 Any credit or refund made to a Member under these Terms and Conditions will be made:

(a) in Unify Stamps to the extent that the Member redeemed Stamps to obtain the Ether; and

(b) in Ether refunded to the Member’s Account to the extent that the Member used Ether

12.5 Unify Stamps cannot be converted to or exchanged for Australian dollars.

12.6 Members acknowledge that:

(a) the Stamps that must be redeemed to obtain Ether may be viewed in the Member Account and may be varied prior to redemption of the Ether without advance notice to Members;

(b) all reasonable efforts will be made to ensure that information in relation to Ether is correct, but except as required by certain statutory warranties under consumer protection laws, Unify Rewards accepts no liability for the lack of completeness or correctness of such information;

(c) Ether may be limited for the trial period;

(d) Ether may be offered for a limited time;

12.7 Except as required by law, Loyalty Innovation & Unify Rewards accepts no liability of any nature in relation to Ether. To the extent that Unify cannot exclude liability for Ether, such liability is limited to:

(a) re-crediting Stamps redeemed by the Member in order to obtain the Ether; or

(b) replacing or re-supplying Ether,

at the discretion of Unify Rewards.

12.9 Unify may at any time and without prior notice to Members withdraw, limit, modify, cancel, increase or decrease Ether availability and the advertised terms of offer for Ether.

 

13. Personal Information

13.1 It is a condition of Membership that a Member consents and authorises Unify Rewards to collect, use and disclose the information on their application form and other information that Unify Rewards collects in relation to the Member for the purposes described in this clause, and disclose such information to 3rd Party Partners and any other person (including related bodies corporate, agents and contractors) for the purposes of:

(a) Unify Rewards or any of its related bodies corporate, providing products or services, including the awarding of Stamps to Members;

(b) Unify Rewards or any of its related bodies corporate improving customer service, including by means of research, marketing, product development and planning;

and

(c) any third party providing services to Unify Rewards, any of its related bodies corporate or Members in connection with the administration of Unify Rewards.

If all or any part of the requested information is not provided by the Member, the services provided to that Member by Unify Rewards may be affected.

 

14. Liability

14.1 Unify Rewards acknowledges that certain laws imply terms, conditions or warranties into contracts for the supply of goods or services that cannot be excluded. For example, for consumers, services come with non-excludable warranties under consumer protection legislation that they will be provided with due care and skill and be reasonably fit for their purpose. Clause 23.2 is not intended to exclude or restrict the application of such laws.

14.2 Subject to clause 23.1, Unify Rewards and any of their officers, employees or agents are not liable for any loss or claim of any kind (including, without limitation, consequential or economic loss or loss of profits), arising under or in connection with these Terms and Conditions or Unify Rewards, including, without limitation, any changes to the Terms and Conditions or Unify Rewards, save to the extent that such loss or claim arises from the negligence or wilful misconduct of Unify, or any of their officers, employees or agents.

 

15. General

15.1 Interpretation: In these Terms and Conditions, unless the contrary intention appears:

(a) the singular includes the plural and vice versa;

(b) dollars or ‘$’ means Australian dollars;

(c) unless otherwise stated, all dollar amounts include any applicable GST;

(d) dates or times are Universal Time Code (or GMT) dates or times;

(e) a reference to ‘include’ or ‘including’ means ‘including but not limited to’.

15.2 Governing Law: The Terms and Conditions and membership in Unify Rewards are governed by and will be construed in accordance with the laws of the State of NSW, Australia irrespective of where the application for Membership has been completed by the Member or submitted to Unify Rewards or Loyalty Innovation. In any action or other legal process with respect to any matter or thing in connection with these Terms and Conditions or Membership the Member submits to the non-exclusive jurisdiction of the State of NSW.

15.4 Nothing in these Terms and Conditions affects any rights a Member may have and which by law cannot be excluded, including under the Competition and Consumer Act (2010) and under State and Territory consumer protection legislation.

15.5 If part or all of any clause of these Terms and Conditions is illegal, invalid or unenforceable then it will be read down to the extent necessary to ensure that it is not illegal, invalid or unenforceable, but if that is not possible, it will be severed from these Terms and Conditions and the remaining provisions of these Terms and Conditions will continue to have full force and effect.
